Terms of Use

1. Description of the service

Pladdo AI is a platform that lets organizations design, connect, govern and deploy AI agents and workflows. Depending on the configuration, Pladdo AI may in particular allow connecting knowledge, documents, tools, integrations and artificial intelligence providers.

Some features may be offered as part of demonstrations, pilot projects, private deployments or specific commercial agreements. We may evolve, add, modify or remove certain features as the service develops.

2. Accounts and access

Some Pladdo AI features require an account or access granted by an organization. Where you hold access, you agree to:

• provide accurate information and keep your credentials confidential;
• take responsibility for activities carried out through your account, except where they result from an issue attributable to Pladdo AI;
• notify us promptly if you suspect unauthorized access to your account.

We may limit or suspend access where reasonably necessary to protect the security of the platform, comply with a legal obligation or address a breach of these Terms.

3. Acceptable use

You must use Pladdo AI lawfully and in accordance with these Terms. In particular, you must not:

• attempt to access accounts, systems or data without authorization;
• circumvent security, access-control or rate-limiting mechanisms;
• intentionally disrupt the operation or availability of the service;
• transmit malicious code or use Pladdo AI for fraudulent or unlawful activities;
• use data, documents or content for which you do not hold the necessary rights or authorizations;
• attempt to extract, copy or reproduce a substantial part of the platform without authorization;
• use the service in a way that infringes the rights of others.

We may suspend access in the event of abusive use or use that poses a serious risk to the platform or its users.

4. Your content and data

You keep your rights in the documents, data, content and configurations you provide to Pladdo AI. You grant us only the rights necessary to host, process, index, transmit or technically use these elements in order to provide the requested features.

You are responsible for ensuring that you hold the necessary rights and authorizations to provide these elements to us. The terms applicable to an organization’s data may also be specified in a separate commercial or data-processing agreement.

5. Artificial intelligence and generated results

Pladdo AI uses artificial intelligence technologies that may produce results that are incomplete, inaccurate or inappropriate for the context. Generated results should be assessed based on the context in which they are used. Pladdo AI should not be treated as an automatic substitute for a professional, regulatory, legal, medical, financial or other decision that requires the involvement of a qualified person.

Where the platform offers human-validation, governance or approval mechanisms, it is up to the organization to configure them in line with its needs and responsibilities.

6. Third-party providers and services

Pladdo AI may rely on third-party services, in particular for hosting, databases, communications, integrations or artificial intelligence models. When you enable an integration or a third-party provider, certain data needed for that feature to operate may be transmitted to that provider.

Third-party services may be subject to their own terms and policies. We do not control services operated independently by these third parties.

7. Intellectual property

Pladdo AI, its software, interface, brand, graphic elements, documentation and proprietary components belong to Groupe VIAPLUS inc. or to their respective owners. Using the service does not transfer to you any ownership right in Pladdo AI.

Except with written authorization or a right provided by law, you may not copy, reproduce, distribute, resell or commercially exploit any part of Pladdo AI beyond the permitted use of the service. The content you provide remains distinct from Pladdo AI’s property.

8. Availability and evolution of the service

We aim to provide a reliable service, but we do not guarantee that Pladdo AI will be available without interruption or error. Interruptions may occur, in particular due to maintenance, updates, security incidents or dependencies on third-party providers.

Features, technical limits and availability terms may change. Where a separate commercial agreement provides specific availability or support commitments, that agreement prevails for those commitments.

9. Responsibility related to the use of AI

You remain responsible for how you use the results, agents, workflows and actions configured in Pladdo AI. Before using a result or an action in an important or sensitive context, you must apply the appropriate level of verification.

To the extent permitted by applicable law, Groupe VIAPLUS inc. is not responsible for decisions made solely on the basis of a result generated by an artificial intelligence technology without appropriate verification.

10. Suspension and termination of access

You may stop using Pladdo AI at any time. We may suspend or terminate access where:

• these Terms are breached;
• the use creates a risk to the security or integrity of the service;
• a legal obligation requires us to do so;
• the access was tied to a demonstration, a pilot project or an agreement that has ended.

The specific terms applicable to a paying customer may be set out in a separate commercial agreement.

11. Separate commercial terms

Pilot projects, subscriptions, professional services or enterprise deployments may be governed by a proposal, an order, a contract or another agreement entered into with Groupe VIAPLUS inc.

In the event of a conflict between these general Terms and a commercial agreement signed with a client organization, the commercial agreement prevails for the matters it covers.

12. Changes

We may update these Terms to reflect changes in the service or applicable requirements. The date of the last update is shown at the top of this page.

Where changes are significant and concern users who hold an account, we may notify them by an appropriate means.

13. Governing law

These Terms are governed by the laws applicable in the Province of Québec and by the federal laws of Canada applicable there, subject to any rights that cannot be excluded under applicable law.
